This Buyer Access Agreement (the “Agreement”) governs your access to non-public information about real estate investment properties offered for sale by Liquid SFR, a brand owned and operated by MadeVestments LLC (“Liquid SFR,” “we,” “us,” or “our”). By creating an account or requesting member access, you (“you” or “Buyer”) agree to be bound by the terms below.
1. Confidential Information
The exact street address, interior photos, lease and tax history, tenant information, rent rolls, pro-forma data, underwriting models, and any other non-public details we make available to authenticated members (collectively, the “Confidential Information”) are provided to you solely to evaluate a potential acquisition.
You agree to (a) keep the Confidential Information strictly confidential; (b) not disclose, publish, post, screenshot, scrape, aggregate, or redistribute the Confidential Information to any third party other than your own attorney, lender, accountant, or spouse/partner, each of whom must be bound by equivalent confidentiality obligations; and (c) not use the Confidential Information for any purpose other than evaluating a transaction with Liquid SFR. The confidentiality obligations in this section survive termination of your access for two (2) years.
2. Tenant Non-Disturbance
Many of the properties listed in our portfolio are occupied by tenants under existing leases. Tenants are not parties to this transaction and have a contractual right to quiet enjoyment of their home. You expressly agree that you will not:
- Visit, drive by, photograph, or attempt to enter any listed property without an authorized Liquid SFR representative present;
- Contact, call, text, email, knock on the door of, leave notes for, or otherwise communicate with any tenant, occupant, neighbor, or on-site staff regarding the property, the listing, the sale, or their tenancy;
- Hire, instruct, or authorize any agent, broker, inspector, contractor, or third party to do any of the above on your behalf; or
- Use any information obtained through your account to identify, contact, market to, or solicit any tenant for any purpose, including but not limited to property management, leasing, or cash-for-keys offers.
You acknowledge that any contact with tenants may interfere with the existing tenancy, expose Liquid SFR to legal liability, and harm the value of the asset. Violation of this section is a material breach and will result in immediate, permanent revocation of your access and may result in legal action for damages including but not limited to lost-deal damages and tenant claims.
3. Showings, Inspections & Due Diligence
All physical access to a listed property — including showings, walk-throughs, inspections, appraisals, and contractor estimates — must be scheduled through Liquid SFR and conducted with reasonable prior notice to the tenant. Liquid SFR will coordinate access during the inspection period of an executed purchase agreement. Drive-bys of the exterior from public streets are permitted, provided you do not stop, photograph the property, or interact with the tenant or neighbors.
4. No Marketing, No Circumvention
You agree that you will not (a) use the Confidential Information or your member access to market any other product or service to tenants, neighbors, or other Liquid SFR members; (b) use the data to identify properties and then attempt to acquire them directly from the seller, lender, county, or any party other than Liquid SFR, bypassing our acquisitions process, for a period of twelve (12) months after first viewing the property in our portfolio; or (c) reverse-engineer, scrape, or build a competing dataset from the information we provide.
5. Term, Termination & Remedies
Access is granted at our sole discretion and may be revoked at any time, with or without cause, by deactivating your account. The covenants in Sections 1, 2, and 4 survive any termination. You acknowledge that monetary damages may be inadequate to remedy a breach of this Agreement and agree that Liquid SFR is entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
6. No Brokerage, No Advice
Liquid SFR is the seller (or seller’s representative) for the properties listed. We are not acting as your real estate broker, agent, attorney, lender, accountant, or financial advisor. The underwriting calculator, cap-rate, cash-flow, and yield figures shown on the site are illustrative and based on stated assumptions; actual returns will vary. You should retain your own licensed professionals before purchasing any property.
7. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
